Terms and Conditions
Zelo AS (“Zelo”) offers a cloud-based content distribution service (the “Service”) that allows you to create content, distribute through various communication channels, obtain answers, reports, and statistics and share files over the Internet.
By using the Service, you agree and are bound by the terms of this Agreement
- Accounts in Zelo
To use the Service, you must set up one or more Zelo accounts. You can set up administrator accounts (“Admin”) and user accounts (“User”).
- Administrator account
Administrator accounts have access to view, send and change all content, users and settings.
- User account
User accounts are intended for the individual employee who, for example, is to complete courses, receive content, links, and files from the Service, as well as answer questions, quiz and provide feedback. A user can only see the content sent to them specifically and respond to them. Users can only access their own files unless other users have shared files with them. Upon termination, all data stored will be deleted 90 days after the expiration date.
- Subscription period
All Zelo accounts have a duration of twelve months, unless otherwise specified in the Assignment Agreement, and are then automatically renewed for a new subscription period (twelve months), unless the user cancels the paid subscription within two months before the current subscription period ends.
The company is automatically billed when a subscription is renewed for the entire subscription period. For renewals, the payment terms are 14 days with maturity at the start of the next subscription period. Payments are not refundable, even upon termination by the user. The user can cancel or change his subscription at any time. The cancellation or change will take effect from the subsequent subscription period.
- Account Manager
When a company or organization establishes an account, an Account Manager will be created automatically. The Account Manager is responsible for adding and maintaining the account and the members of the account. The Account Manager is the company or the organization’s contact point with Zelo and is the only person with the authority to cancel the subscription. The Account Manager is also responsible for ensuring that the company or organization complies with the Terms and Conditions, see paragraph 11 below.
- License to Use the Service
Once a user has signed up for an account in accordance with the licensing terms and Zelo’s instructions, Zelo grants the User the right to use the Service.
The User shall only use the Service for the purpose and with the restrictions and instructions provided by Zelo.
Zelo grants you a non-exclusive, non-transferable license to install and use the Service for the purposes stated. The License may not be passed on to others or otherwise made available to others, other than as set forth in this Agreement. Source code owned by a Third Party may be provided with the Service and is subject to the relevant Third Party licenses.
The service and its structure, organization, source code, and documentation contain trade secrets. Zelo is the sole owner of the Service and the software used to deliver the Service, as well as all related documentation.
The service enables the user to share, send and exchange digital content with others. The user must have all the necessary rights to distribute this digital content. By using the Service, you acknowledge that Zelo has no control over the digital content transmitted through or used with the Service and that Zelo cannot in any way be held responsible for the use, content or storage of this digital content. Zelo reserves the right, in its sole discretion, to remove any content or impose any other restrictions or measures deemed necessary to ensure compliance with applicable laws and regulations. Zelo reserves the right to conduct virus checks and may block certain files from being uploaded.
The User may not make commercial use of the Service, including but not limited to the sale or distribution of the Service, software or documentation to a Third Party.
- Renewals, cancellation, and cancellation of subscription
Subscription for all accounts are automatically renewed when a subscription period expires.
The Account Manager can unsubscribe at any time. When a subscription is canceled, it means that it will not renew when the subscription period expires.
After a subscription has ended, Zelo will downgrade all accounts managed by the Account Manager to inactive for a period of 30 days. Then the accounts, reports, links in the solution or any of the material stored in the solution cannot be accessed. After the 30-day period, User Accounts will be terminated. If the Account Manager during this period chooses to reactivate the accounts by subscribing to a new subscription, a fee will be paid for the number of users at the end of the last period equal to the price for the monthly subscription.
If the user has failed to pay any fees or other amounts owed to Zelo, Zelo has the right to close the accounts 90 days after the original payment deadline.
Zelo has the right to terminate the user’s account if the user behaves in a manner that is not in accordance with this Agreement or instructions provided by Zelo.
We will delete user data within 90 days after the user account has been terminated
- Changes to Personal Information
The user shall immediately notify Zelo of any change of email address and payment information by contacting Zelo by email. The user is solely responsible for any costs that may arise from incorrect or failure to update user information.
- Privacy and Data Collection
If there is a valid court order from the Norwegian Legal System, EU or the U.S. Zelo will disclose data in accordance with the court order and EU-US Privacy Shield. Zelo will notify the user in such cases if this is legally allowed.
- Special Terms
The Account Manager identifies users who are administered by providing email addresses or other contact information for each user. As an Account Manager, you are responsible for paying the fees of all users under your administration and their use of Zelo.
The Account Manager shall have exclusive control over the management of all User Accounts and ensure that all use of the Service is in accordance with this Agreement and other instructions provided by Zelo. It is the sole responsibility of the Account Manager to ensure that the number of Users Accounts is increased or decreased as needed. The administrator is also responsible for adding or removing individual accounts as needed.
The Account Manager does not have access to data stored in users’ accounts if it is not shared with the Account Manager. Administrator accounts have access to read activity on Users’ accounts.
Users can only access their own files unless other members have shared files with them.
An Account Manager can upgrade (add accounts) or downgrade (reduce accounts) at any time. An Account Manager can cancel the subscription at any time. Such changes will apply from the end of the current subscription period. Upon termination, all stored data will be deleted.
- Requirements for Using the Service
To use the Service, you must have a compatible computer or mobile device with internet access. Using the Service via a wireless connection may incur increased costs from your mobile operator. You are responsible for paying all data costs and for all equipment and other third party services you use to access the Service.
The user is responsible for remembering his password and treating it confidentially. The user is solely responsible for any activity that occurs under his / her username. If the user loses the password or the link to the user’s account, the user cannot access his / her data. The user’s user name, password, and links are personal and cannot be shared with a third party. If the user becomes aware of abuse of their account, they must notify Zelo immediately.
- Fair and acceptable use
All use of Zelo’s products and services shall be in accordance with the principles set forth in this Agreement and in accordance with applicable laws and regulations.
Zelo may establish or extend operating procedures to ensure access to the Service and to prevent abuse. As part of these operating routines, we reserve the right to monitor our systems to identify excessive consumption of storage and network resources, as well as to implement technical and other measures we consider necessary.
User accounts can use the Service for normal individual use. Zelo does not limit bandwidth or storage on unlimited subscriptions, but we reserve the right to prevent excessive consumption and misuse of the Service. If a User’s total storage and network usage is significantly greater than the normal usage of an average Zelo user, and / or indicates that the Service is used for anything other than individual use, this may in some cases be considered abuse of the Service.
In the cases mentioned above, we reserve the right to offer an alternative Zelo subscription, or in some cases suspend or delete the User’s account and / or user data. The user will be contacted by us with suggestions for modification or notification of measures in such cases.
Users cannot resell accounts or any of the account’s services. You cannot share your password or link with a third party and must store it in a secure and appropriate manner. It is a violation of this Agreement to use Zelo’s services and/or products for illegal activities. You may not store and/or distribute data on the Service that violates Norwegian laws and regulations, including privacy and copyright laws. This includes pirated material and/or other illegal content.
Zelo reserves the right to block access or prohibit the use of the Service, delete user data and/or delete user accounts if we believe that the user violates this Agreement.
Storage and/or distribution of data that violates Norwegian law may be reported to the authorities.
- Liability and Warranties
Zelo is under no circumstances responsible for any damages, costs or losses associated with the use of the Service. This also applies to data loss stored in the Service and the consequences of data loss. Zelo is without responsibility even though Zelo has been made aware of the risk of loss.
Zelo’s total liability for any kind of damages, costs or losses associated with the Service and these the licensing terms are, in any case, limited to an amount corresponding to paid compensation for your account in the last 12 months before the claim arose.
Zelo has no responsibility whatsoever for indirect losses, considerable or consequential damages of any kind.
- Marketing and communication in electronic channels
Zelo will only send the user relevant and personalized information about news, products, and services from the company in channels such as e-mail and SMS if the user has given consent. The user may withdraw such consent at any time.
Zelo reserves the right to change the Terms and Conditions of the Agreement upon 30 (thirty) days’ notice. Zelo also reserves the right to cancel, modify or terminate the Service, in whole or in part, after notifying the user by email at least 30 (thirty) days prior to such change or termination of the Service. Zelo reserves the right to change the current subscription prices. The changes will take effect 30 (thirty) days after the notification message is sent. All notifications of the changes mentioned above are sent to the user via email.
Zelo reserves the right to assign this Agreement to a third party. Zelo will notify users of such change.
- Choice of Law and Dispute Resolution
This Agreement is governed by and interpreted in accordance with Norwegian law. The parties agree to Stavanger District Court as the legal venue.
